1. Service Relationship

These Terms of Service ("Terms") govern your use of the services provided by Vercel Managed ("we," "us," or "the Platform"). By using our services, you agree to be bound by these Terms.

Your service relationship is with Vercel Managed, not directly with Vercel Inc. We are a managed hosting provider that utilizes Vercel Enterprise infrastructure to deliver our services. While we leverage Vercel's technology, your contractual relationship and primary point of contact is with Vercel Managed.

2. Service Description

Vercel Managed provides managed web hosting services powered by Vercel Enterprise infrastructure. Our services include:

  • Deployment and hosting of web applications
  • Continuous deployment from Git repositories
  • Custom domain configuration and SSL certificates
  • Performance optimization and edge network delivery
  • Technical support and account management

3. Service Availability

Service availability is directly tied to Vercel's uptime and infrastructure. While we strive to maintain high availability, we cannot guarantee uninterrupted service. Our service availability is subject to:

  • Vercel's infrastructure status and uptime
  • Scheduled maintenance windows
  • Third-party service dependencies
  • Force majeure events beyond our control

We will make reasonable efforts to notify you of scheduled maintenance and service disruptions when possible.

4. Account Creation and Access

Access to Vercel Managed is by invitation only. Accounts are created through the following process:

  • You receive an invitation from a Vercel Managed administrator
  • Your account is activated upon successful payment processing
  • You are responsible for maintaining the security of your account credentials
  • You must provide accurate and complete information during registration

You are responsible for all activities that occur under your account. Notify us immediately if you suspect unauthorized access to your account.

5. Billing and Payment

By subscribing to our services, you agree to the following billing terms:

  • Subscriptions automatically renew on a monthly or annual basis, depending on your plan
  • Payment is charged to the card on file at the beginning of each billing period
  • You are responsible for keeping your payment information current
  • Failed payments may result in service suspension
  • All fees are non-refundable except as specified in our Refund Policy

We reserve the right to modify pricing with 30 days' notice. Continued use of the service after a price change constitutes acceptance of the new pricing.

6. Acceptable Use and Termination

Your use of our services must comply with our Acceptable Use Policy. We reserve the right to terminate or suspend your account for violations, including but not limited to:

  • Hosting illegal or prohibited content
  • Engaging in malicious activities
  • Resource abuse or excessive bandwidth consumption
  • Non-payment of fees
  • Violation of these Terms or the Acceptable Use Policy

Termination for cause may be immediate without refund. We will make reasonable efforts to notify you before termination when circumstances permit.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERCEL HOSTING SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or data
  • Business interruption
  • Cost of substitute services
  • Any damages arising from service unavailability

Our total liability for any claims arising from these Terms or your use of the services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

8. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes through:

  • Email notification to the address associated with your account
  • Prominent notice on our website
  • Update to the "Last Updated" date at the top of these Terms

Continued use of our services after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the changes, you must discontinue use of the services.
